Introduction
Welcome to clinIQ™, a healthcare technology platform operated by The Algorithm LLC (“we,” “our,” or “us”).
These Terms and Conditions (“Terms”) govern your access to and use of our website, mobile applications, and related services (collectively, the “Services”).
By accessing or using clinIQ™, you agree to be bound by these Terms.
If you do not agree, you may not use the Services.

These Terms are intended to protect both your rights and ours, ensure compliance with healthcare and data-privacy laws, and set clear expectations for proper use of the platform.

1. Eligibility and Account Registration

1.1. To use clinIQ™, you must be at least 18 years old and have the authority to enter into binding agreements.
1.2. Clinics, providers, and authorized personnel must register accounts using accurate information and keep credentials secure.
1.3. You are responsible for maintaining the conﬁdentiality of your credentials and for all activities conducted under your account.

2. License and Permitted Use

2.1. We grant you a limited, non-exclusive, non-transferable license to access and use the Services in accordance with these Terms.
2.2. You may not copy, modify, distribute, sell, lease, reverse engineer, or attempt to extract source code from any part of the platform.

2.3. clinIQ™ is provided solely for professional healthcare, administrative, and patient-engagement purposes, not for consumer resale or redistribution.

3. Payment Terms

3.1. Subscription fees, add-ons, and usage-based charges are billed via Stripe or other approved processors.
3.2. All payments are non-refundable once a billing cycle has commenced.
3.3. Invoices are due under Net 30 terms unless otherwise agreed in writing.
3.4. Failure to remit payment may result in suspension or termination of Services.

4. Termination and Cancellation

4.1. Either party may terminate an account at any time with written notice.
4.2. Upon termination, access to all patient data and dashboards will cease after 30 days. 4.3. Data will remain available for export for 30 days post-termination and will then be permanently deleted within 90 days.
4.4. Termination does not relieve you of any outstanding payment obligations.

5. Data Ownership and HIPAA Compliance

5.1. Clinics retain full ownership of their patient and practice data.
5.2. clinIQ™ acts solely as a Business Associate under HIPAA, processing Protected Health Information (PHI) on behalf of covered entities.
5.3. We maintain BAAs with all applicable subcontractors (including AWS, MongoDB Atlas, and Twilio).
5.4. Our HIPAA Compliance Statement forms part of these Terms and is incorporated herein by reference.

6. Conﬁdentiality and Security

6.1. Both parties agree to maintain strict conﬁdentiality of all PHI and proprietary data.

6.2. clinIQ™ uses industry-standard safeguards, including TLS 1.3 encryption in transit and AES-256 encryption at rest.
6.3. Users must ensure local devices and networks comply with security best practices and avoid sharing credentials.

7. Service Availability and Modiﬁcations

7.1. We aim for continuous uptime but may perform maintenance or updates as needed.

7.2. We reserve the right to modify, enhance, or discontinue features without prior notice, provided such changes do not materially degrade core functionality.
7.3. We are not liable for service interruptions due to third-party providers, network failures, or force-majeure events.

8. Limitation of Liability

8.1. To the fullest extent permitted by law, The Algorithm LLC and its affiliates shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the use of the Services.
8.2. Aggregate liability for any claim shall not exceed the total fees paid by you to us in the preceding three (3) months.
8.3. clinIQ™ does not provide medical advice; all clinical decisions remain the responsibility of licensed providers.
8.4. This limitation includes optional integrations such as Claire™ and Vizier™.

9. Indemniﬁcation

You agree to indemnify, defend, and hold harmless The Algorithm LLC, its officers, employees, and affiliates from any claims, damages, or expenses (including attorneys’ fees) arising out of your misuse of the Services or violation of these Terms.

10. Dispute Resolution

10.1. All disputes shall first be resolved through good-faith negotiation.
10.2. If unresolved, disputes will be submitted to binding arbitration under the rules of the American Arbitration Association.
10.3. Either party may bring an eligible matter in small-claims court in Colorado.

10.4. Class-action proceedings are expressly waived.

11. Governing Law

These Terms are governed by and construed under the laws of the State of Colorado, USA, without regard to conflict-of-laws principles.

12. Changes to Terms

We may update these Terms periodically.
Material changes will be posted on our website and, where required, communicated via email or in-app notice.
Continued use after such notice constitutes acceptance of the revised Terms.

14. Third-Party Integrations

14.1 Optional Platform Integrations – clinIQ™ may integrate with other platforms operated by The Algorithm LLC or third parties, including Claire™ (conversational AI orchestration) and Vizier™ (healthcare analytics).
14.2 Separate Terms Apply – Each integrated platform operates under its own Terms of Service, Privacy Policy, and Business Associate Agreement (BAA). By enabling an integration, you agree to the applicable terms for that platform.
14.3 Data Sharing – When you enable an integration, clinIQ™ may share only the data necessary to provide the requested functionality. All integrated platforms handling PHI operate under executed BAAs.
14.4 Integration Liability – Each platform provider is independently responsible for its own services. clinIQ™ is not liable for issues arising from third-party or integrated platforms.
